RE: THE INDEPENDENT DIRECTOR SEAT
An Independent Director with operating scar tissue, not just a resume.
Boards adding an independent get a director who has been a founder, an executive and a general counsel, and who reads the financials, the contracts and the room.
What the seat covers
The full board cycle: quarterly meetings with real preparation, committee service including audit and governance capacity, and interim consultation between meetings when decisions cannot wait for the next quarter. The perspective in the room combines legal and privacy fluency, transaction experience on both sides of the table, and the operating judgment of someone who has run companies rather than only advised them.
How appointments work
Every appointment starts with an independence and conflicts review; the seat is not combined with counsel seats at the same company where independence standards apply. Companies are expected to maintain D&O insurance extending to appointed directors. Committee chair roles, complex group structures and transaction-heavy boards are priced on inquiry, because their real workload is different.
Who retains an independent director
Boards whose investors require an independent seat. Family businesses professionalizing governance. Subsidiaries and joint ventures needing qualified local directors. Companies approaching transactions where an independent voice protects the process and the record.

Questions
Can our Fractional GC also be our independent director?
Not where independence standards apply; a director who is also the company's counsel is not independent under any framework. The seat exists precisely as a standalone appointment, and the conflicts review at the start settles fit definitively.
How is the seat priced?
The same flat seat price as every other seat, $2,450 per month, covering the full board cycle. Chair roles and transaction-heavy boards are priced on inquiry.
What is expected of the company?
Current D&O insurance extending to the appointed director, honest information flow, and board materials in time to actually read them. In return the seat shows up prepared, every cycle.
What size of company is this appropriate for?
Any board that needs a genuinely independent voice: venture-backed companies meeting investor board composition requirements, family businesses professionalizing governance, and subsidiaries or joint ventures required to seat a qualified local director.
How is independence actually assessed?
Every appointment opens with a conflicts and independence review against the applicable standard (provincial corporate statutes, stock exchange rules, or investor-negotiated governance terms), documented before the appointment is accepted, and revisited if circumstances change.
Can the director also chair a committee?
Yes, priced on inquiry given the additional preparation and reporting load. Audit and governance committee capacity is available within scope discussions at the time of appointment.
