1. No legal advice

Everything on this website is general information about our services. It is not legal advice, it is not a substitute for advice on your situation, and you should not act or refrain from acting on the basis of it. Law changes, and pages here may not reflect the most current position.

2. No solicitor-client relationship

Using this site, booking a consultation, or sending us an email does not create a solicitor-client relationship. We act for a client only after we have completed a conflicts check and both parties have signed an engagement letter.

Please do not send us confidential or sensitive information until we have confirmed in writing that we act for you. Information sent before then may not be treated as confidential or privileged, and we may already act for another party with an interest adverse to yours.

3. Where we are licensed

Our lawyers are licensed by the Law Society of Ontario and advise on the laws of Ontario and the federal laws of Canada. We act for companies across Canada, and where a matter engages the law of another province or another country, we say so and involve appropriately licensed counsel. Nothing on this site is an offer to practise law in a jurisdiction where we are not licensed.

4. Fees shown on this site

We publish our fees because we think clients deserve to know them before a call. Those figures are current as at the effective date of these terms, are exclusive of applicable taxes and disbursements, and may change. They are not an offer capable of acceptance and do not form a contract.

The fees, scope, capacity and terms that apply to any engagement are those set out in the signed engagement letter for that engagement. Where this website and an engagement letter differ, the engagement letter governs. Some mandates, including those requiring greater customization or dedicated capacity, are priced on inquiry.

5. Client logos and references

Logos and company names shown on this site identify organizations for which our lawyers have acted or in which they have held in-house or executive roles, including in previous positions before joining Murjis. Their appearance does not imply a current retainer, a partnership, or any endorsement of Murjis by those organizations. Descriptions of past work are illustrative, and past results do not guarantee or predict future results.

6. Artificial intelligence

We use AI tools in our practice for first-pass drafting, document review and related work. A lawyer reviews and approves every deliverable before it reaches a client. Any AI-assisted feature offered through this site or our client portal collects information only for the purpose described at the point of collection, does not provide legal advice, and does not create a solicitor-client relationship. Our Privacy Policy explains how information processed by these tools is handled.

7. Client portal

Access to the client portal is granted only to clients with a signed engagement agreement and to the individuals they authorize. Portal access is subject to the engagement agreement, which governs the services we provide, and to these terms.

Accounts. Each person signs in with their own password, and may add two-factor authentication. Accounts are personal and must not be shared. You are responsible for keeping credentials secure, for the actions of individuals your administrators grant access to, and for telling us promptly if you believe access has been compromised.

Instructions given through the portal. Actions taken in the portal by a person you have authorized, including booking counsel days, adding or releasing seats or standing days, submitting, changing or cancelling a request, and approving a disbursement, are binding on the client and are recorded as written instructions under the engagement agreement, together with who took them and when.

Overdue invoices. Where an invoice is past due, the portal may pause new bookings and new requests until it is settled, as the engagement agreement provides. Your existing bookings, documents and records remain accessible.

Availability. We aim to keep the portal available at all times but do not guarantee uninterrupted access, and we may take it offline briefly for maintenance. Nothing about the portal's availability changes your entitlements or our obligations under the engagement agreement.

8. Acceptable use

You may use this site for lawful purposes only. You must not attempt to gain unauthorized access to the site or its systems, interfere with its operation, introduce malicious code, scrape or harvest content by automated means, or use the site to send unsolicited communications. We may restrict or terminate access to the site at any time.

9. Intellectual property

The content of this site, including text, design, graphics, photographs and code, is owned by Murjis or its licensors and is protected by copyright and other laws. The Murjis name, the shark device and associated marks are trademarks of Murji Legal Professional Corporation. You may view and print pages for your own reference. You may not reproduce, republish, modify or distribute content from this site for commercial purposes without our written permission. You may link to the homepage, provided the link is fair, does not imply endorsement, and does not present the site within another site's frame.

10. Third-party links and services

This site links to third-party services, including a scheduling service for booking consultations, and to social media platforms. We do not control those services, are not responsible for their content or practices, and their terms and privacy policies apply to your use of them.

11. Privacy

Our Privacy Policy explains what personal information we collect through this site and in the course of a matter, how we use it, and your rights. It forms part of these terms.

12. Availability and changes

We may change, suspend or discontinue any part of this site at any time without notice, and we may revise these terms. Revised terms take effect when posted, and the effective date at the top will change. Your continued use of the site after a revision means you accept it.

13. Disclaimer

This site and its content are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. We do not warrant that the site will be uninterrupted, error-free, secure or free of harmful components, or that the content is accurate, complete or current.

14. Limitation of liability

To the fullest extent permitted by law, Murjis and its lawyers, employees and agents are not liable for any damages arising out of or in connection with your use of, or inability to use, this site or its content, including direct, indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, even if advised of the possibility of such damages.

Nothing in these terms limits or excludes any liability that cannot be limited or excluded by law, or affects our professional obligations to our clients under the Rules of Professional Conduct or our professional liability insurance.

15. Indemnity

You agree to indemnify Murjis against any claim, loss, liability, cost or expense, including reasonable legal fees, arising from your breach of these terms or your misuse of this site.

16. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of laws principles. You agree to the exclusive jurisdiction of the courts of Ontario for any dispute arising out of these terms or this site, subject to any right you may have to bring proceedings in your own jurisdiction where the law gives you that right and it cannot be excluded by agreement.

17. General

If any provision of these terms is held invalid or unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy, are the entire agreement between you and Murjis regarding your use of this site, and do not affect any engagement letter between us, which governs the services we provide to clients.
